Terms of Service

1. Acceptance of Terms
By accessing or using DwellFile ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including Renter and Homeowner plan subscribers.
2. Description of Service
DwellFile is a property documentation platform that allows users to photograph, timestamp, organize, and export records related to rental properties and home inventories. Features include but are not limited to: photo storage, maintenance tracking, communication logging, inventory management, condition reports, branded exports, and property transfer packages.
DwellFile is a documentation and organizational tool, not a legal, financial, or professional advisory service. No content, feature, output, or recommendation provided by DwellFile (including AI-generated content) constitutes legal advice, financial advice, home inspection services, or professional consulting. Always consult qualified professionals for legal, financial, or property matters.
3. Account Registration
You must create an account to use DwellFile. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate and complete information during registration and to keep it up to date.
You must be at least 18 years old to create an account and use the Service.
4. Subscriptions & Billing
4.1 Plans
DwellFile offers two subscription plans: Renter ($3.99/month or $34.99/year) and Homeowner ($4.99/month or $44.99/year). Prices are subject to change with 30 days' notice.
Both plans include a 7-day free trial. During the trial period, you have full access to all features. Your payment method will not be charged until the trial ends. You may cancel at any time during the trial period at no cost.
4.2 Payment
Payments are processed by Stripe, Inc., a PCI DSS Level 1 certified payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are non-refundable except as described in Section 4.4. We do not store your full credit card or bank account information on our servers.
4.3 Cancellation
You may cancel your subscription at any time from the Billing page. Upon cancellation, your subscription remains active until the end of the current billing period. After that, your data will be retained for 90 days before being permanently deleted.
4.4 Refund Policy
If you are not satisfied within the first 30 days of your initial subscription, contact us at support@dwellfile.com for a full refund. Refunds are not available after the 30-day window or for renewal charges.
5. Storage Limits
The Renter plan includes 10 GB of cloud storage. The Homeowner plan includes 15 GB of cloud storage. If you exceed your storage limit, you will be unable to upload new files until existing files are removed. Storage usage is calculated across all properties on your account.
6. Your Content
6.1 Ownership
You retain full ownership of all content you upload to DwellFile, including photos, documents, and records. We do not claim any intellectual property rights over your content.
6.2 License to Us
By uploading content, you grant DwellFile a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the Service to you. This includes processing content through AI features when you initiate them. This license ends when you delete your content or your account is terminated.
6.3 Prohibited Content
You may not upload content that:
- Violates any applicable law or regulation
- Infringes on the intellectual property rights of others
- Contains malware, viruses, or harmful code
- Is obscene, defamatory, or constitutes harassment
We reserve the right to remove content that violates these Terms and to suspend or terminate accounts that repeatedly violate these rules.
7. AI-Powered Features
DwellFile uses artificial intelligence (powered by OpenAI) to provide certain features including photo analysis, condition reports, lease scanning, dispute letter generation, and annual reports. By using these features, you acknowledge and agree that:
- AI output is informational only. AI-generated content (including dispute letters, condition assessments, lease clause analysis, and maintenance recommendations) is provided for informational purposes and does not constitute legal advice, professional inspection, or expert opinion.
- No guarantee of accuracy. AI systems can produce errors, hallucinations, or incomplete analysis. You are responsible for reviewing, verifying, and editing all AI-generated content before use.
- Data sent to third parties. When you use AI features, relevant content (photos, text, property details) is sent to OpenAI's API for processing. See our Privacy Policy for details.
- Dispute letters require your review. AI-generated dispute letters are drafts only. They may contain inaccuracies regarding applicable law, deadlines, or your specific situation. You must review and modify the letter before sending it. DwellFile is not responsible for any outcomes resulting from the use of AI-generated dispute letters. We strongly recommend having a qualified attorney review any legal correspondence.
- Annual reports are summaries, not appraisals. AI-generated annual property reports provide summaries based on your uploaded data and do not constitute professional home inspections, appraisals, or insurance assessments.
8. Shared Access
You may generate read-only shared access links for your properties. You are responsible for managing who receives these links and for any consequences of sharing your data. Recipients of shared links may view the shared property data but cannot modify it. DwellFile is not liable for any actions taken by recipients of shared links, including unauthorized redistribution of your data. You can revoke shared access at any time.
9. Data Export & Portability
You may export your data at any time using the built-in export and property transfer features. We encourage you to maintain local backups of important records. DwellFile provides data in standard formats (ZIP, CSV, PDF) to ensure portability. While we strive to maintain consistent export formats, we reserve the right to modify export formats with reasonable notice.
10. Disclaimer of Warranties
DwellFile is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the reliability, accuracy, or availability of the Service, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
DwellFile is a documentation tool, not a legal service. While our records may be helpful in disputes with landlords or insurance companies, we make no guarantees about legal outcomes. We recommend consulting a qualified attorney for legal advice.
We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant that AI-generated content will be accurate, complete, or suitable for any particular purpose.
11. Limitation of Liability
To the maximum extent permitted by law, DwellFile and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to damages for loss of data, loss of profits, or business interruption. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
This limitation applies to all causes of action, including but not limited to breach of contract, negligence, strict liability, and other torts.
12. Indemnification
You agree to indemnify, defend, and hold harmless DwellFile, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with:
- Your use of the Service or any content you upload
- Your violation of these Terms
- Your violation of any third-party rights
- Your use of AI-generated content (including dispute letters, condition reports, or any other AI output) in legal proceedings, communications, or other contexts
- Any data shared through shared access links that you created
13. Account Termination
We may suspend or terminate your account if you violate these Terms or engage in fraudulent or harmful activity. You may delete your account at any time by contacting support@dwellfile.com. Upon termination, your data will be handled according to our data retention policy (90-day grace period followed by permanent deletion).
14. Dispute Resolution
14.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at support@dwellfile.com and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved quickly through direct communication.
14.2 Binding Arbitration
If we cannot resolve a dispute informally, you and DwellFile agree to resolve any claims relating to these Terms or the Service through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in Duval County, Florida, or remotely by mutual agreement. The arbitrator's decision will be final and enforceable in any court of competent jurisdiction.
14.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive the right to a jury trial.
14.4 Exceptions
Either party may bring claims in small claims court if the claim qualifies. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice at least 30 days before taking effect. Your continued use of DwellFile after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and may request deletion of your account.
16. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any legal proceedings not subject to arbitration under Section 14 shall be brought exclusively in the state or federal courts located in Duval County, Florida, and you consent to the personal jurisdiction of such courts.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and DwellFile regarding the Service and supersede all prior agreements and understandings.
